Seller Terms and Conditions

These Seller Terms and Conditions ("Seller Terms", "Terms", or "Agreement") govern the registration and use of the Alkonect marketplace by sellers, vendors, merchants, businesses, manufacturers, suppliers, brands, and service providers ("Seller", "you", or "your").

The Alkonect marketplace is operated by Alkonect Ltd, with operations and/or registration in Nigeria and South Korea.

By registering as a Seller, creating a Seller account, listing Products, accepting Orders, or otherwise using Alkonect Seller services, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not register or operate as a Seller on Alkonect.


1. DEFINITIONS

For purposes of these Terms:

"Alkonect", "we", "us", or "our" means Alkonect Ltd.

"Buyer" means an individual, business, organisation, or other customer purchasing Products through the Alkonect marketplace.

"Seller" means any individual, business, merchant, company, manufacturer, supplier, brand, or other entity authorised to sell through Alkonect.

"Product" means any physical product, digital product, service, subscription, or other item offered by a Seller through Alkonect.

"Order" means a request by a Buyer to purchase a Product through the Alkonect marketplace.

"Platform" means the Alkonect website, applications, Seller dashboard, marketplace infrastructure, and related services.

"Seller Account" means the account created by a Seller to access Alkonect Seller services.

"Seller Content" means Product descriptions, photographs, videos, logos, trademarks, pricing information, specifications, and other materials supplied by the Seller.


2. SELLER ELIGIBILITY

To become a Seller on Alkonect, you must:

  • be legally capable of entering into this Agreement;
  • provide accurate registration information;
  • be authorised to sell the Products you list;
  • comply with applicable laws;
  • provide required verification documents;
  • maintain valid payment information; and
  • meet Alkonect's marketplace requirements.

Alkonect may refuse or restrict Seller registration where reasonably necessary for legal, operational, security, compliance, or marketplace-integrity reasons.


3. SELLER ACCOUNT REGISTRATION

You must provide truthful, complete, and current information during registration.

Information may include:

  • legal name;
  • business name;
  • business registration information;
  • business address;
  • email address;
  • telephone number;
  • government-issued identification;
  • tax information;
  • payment information;
  • licences and permits; and
  • other information reasonably required by Alkonect.

You must update your information when it changes.

Providing false or misleading information may result in suspension or termination.


4. BUSINESS VERIFICATION

Alkonect may conduct identity, business, payment, fraud, compliance, and other verification checks.

We may request additional documentation at any time where reasonably necessary.

You authorise Alkonect and its authorised service providers to conduct reasonable verification activities in connection with your Seller account.

Failure to complete required verification may prevent you from selling or receiving certain marketplace services.


5. SELLER ACCOUNT SECURITY

You are responsible for protecting your Seller Account credentials.

You must:

  • keep passwords confidential;
  • use available security features;
  • restrict account access to authorised persons;
  • notify Alkonect of suspected unauthorised access; and
  • take reasonable steps to secure your account.

You are responsible for activities conducted through your account unless caused by circumstances for which you are not legally responsible.


6. MARKETPLACE RELATIONSHIP

Alkonect operates a marketplace that connects Buyers and Sellers.

Unless expressly stated otherwise, Alkonect is not the manufacturer, importer, distributor, owner, or direct seller of Products listed by independent Sellers.

The Seller remains responsible for its Products, business activities, representations, fulfilment, warranties, and legal obligations.

Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, agency, or fiduciary relationship between Alkonect and the Seller.


7. SELLER LICENCE AND AUTHORITY TO SELL

You represent and warrant that you:

  • own or have the legal right to sell each Product;
  • have all required licences and permissions;
  • have authority to use relevant trademarks and intellectual property;
  • have authority to fulfil Orders;
  • are not knowingly violating third-party rights; and
  • will comply with applicable laws.

8. PRODUCT LISTINGS

You are solely responsible for your Product listings.

Listings must be:

  • accurate;
  • truthful;
  • complete;
  • current;
  • not misleading;
  • legally compliant; and
  • representative of the actual Product.

You must accurately disclose material Product information, including where applicable:

  • specifications;
  • dimensions;
  • quantity;
  • condition;
  • colour;
  • size;
  • compatibility;
  • materials;
  • warranty;
  • origin;
  • price;
  • availability;
  • delivery information; and
  • return conditions.

9. PRODUCT AUTHENTICITY

You may only sell authentic and legally sourced Products.

You must not list or sell:

  • counterfeit goods;
  • stolen goods;
  • fraudulent Products;
  • unlawfully sourced Products;
  • unauthorised replicas; or
  • Products that infringe third-party rights.

Alkonect may request documentation establishing authenticity or lawful sourcing.


10. PROHIBITED PRODUCTS

You must comply with Alkonect's prohibited and restricted Product rules.

Products that may be prohibited or restricted include:

  • illegal drugs;
  • unlawful weapons;
  • explosives;
  • hazardous materials;
  • counterfeit goods;
  • stolen goods;
  • fraudulent financial products;
  • infringing Products;
  • illegally sourced wildlife or protected materials;
  • unsafe or recalled Products;
  • Products requiring licences that you do not possess; and
  • Products prohibited by applicable law.

Alkonect may remove prohibited listings without prior notice where reasonably necessary.


11. PRODUCT SAFETY

You are responsible for ensuring that Products comply with applicable safety requirements.

You must not knowingly sell Products that are:

  • unsafe;
  • recalled;
  • improperly labelled;
  • illegally modified;
  • falsely certified; or
  • otherwise prohibited.

If you become aware of a Product safety issue, recall, or regulatory concern, you must promptly notify Alkonect.


12. PRICING

You are responsible for setting Product prices.

Prices must be accurate and lawful.

You must not:

  • create fake discounts;
  • manipulate reference prices;
  • advertise false savings;
  • hide mandatory charges;
  • use deceptive pricing;
  • intentionally misrepresent taxes; or
  • change the price of an accepted Order without lawful justification.

Applicable marketplace fees may be deducted from Seller proceeds.


13. INVENTORY

You must maintain accurate inventory information.

You should not list quantities that you cannot reasonably fulfil.

If a Product becomes unavailable after an Order is placed, you must promptly notify Alkonect.

Repeated stock-related cancellations may result in Seller performance action.


14. ORDERS

When you accept an Order, you agree to fulfil it in accordance with:

  • the Order details;
  • your Product listing;
  • your stated fulfilment terms;
  • applicable Alkonect policies;
  • applicable law; and
  • these Terms.

You must not cancel Orders without a legitimate reason.


15. FULFILMENT

You are responsible for fulfilling Orders accurately and promptly.

You must:

  • provide the correct Product;
  • provide the correct quantity;
  • package Products appropriately;
  • meet stated processing times;
  • provide accurate shipping information;
  • provide tracking information where available; and
  • cooperate with delivery investigations.

16. SHIPPING

Where you are responsible for shipping, you must comply with applicable shipping requirements.

You must not:

  • falsely mark Orders as shipped;
  • provide false tracking information;
  • intentionally delay shipments;
  • ship Products to unauthorised destinations; or
  • violate applicable customs or carrier requirements.

17. INTERNATIONAL SALES

If you sell internationally, you are responsible for determining whether your Products can legally be exported to and imported into the destination country.

You are responsible for applicable:

  • customs requirements;
  • import and export laws;
  • taxes and duties;
  • Product restrictions;
  • licences;
  • certifications;
  • labelling requirements; and
  • other regulatory requirements.

18. RETURNS AND REFUNDS

You agree to comply with the Alkonect Returns & Refund Policy.

Where a Product is defective, damaged, incorrect, materially misrepresented, counterfeit, or otherwise subject to a valid return or refund claim, you must cooperate with the applicable resolution.

Depending on the circumstances, the resolution may include:

  • refund;
  • replacement;
  • repair;
  • exchange;
  • partial refund; or
  • another legally required remedy.

19. WARRANTIES

You must honour warranties and guarantees you provide to Buyers.

You must accurately communicate:

  • warranty duration;
  • warranty coverage;
  • exclusions;
  • claim procedures; and
  • warranty provider information.

Nothing in these Terms removes mandatory statutory warranties or consumer protections.


20. CUSTOMER SERVICE

You are responsible for providing reasonable customer service concerning your Products.

You must respond appropriately to:

  • Buyer questions;
  • complaints;
  • return requests;
  • warranty claims;
  • delivery problems; and
  • Alkonect support requests.

You must communicate professionally and must not threaten, harass, abuse, or discriminate against Buyers.


21. BUYER INFORMATION

You may receive limited Buyer information necessary to fulfil Orders.

You must:

  • use Buyer information only for legitimate purposes;
  • protect it from unauthorised access;
  • comply with applicable privacy laws;
  • not sell Buyer information;
  • not use it for unauthorised marketing; and
  • not disclose it to unauthorised parties.

You must notify Alkonect of suspected data breaches where required.


22. INTELLECTUAL PROPERTY

You must respect the intellectual-property rights of Alkonect, Buyers, other Sellers, manufacturers, brands, and third parties.

You must not upload or use content unless you have the necessary rights or permission.

This includes:

  • photographs;
  • videos;
  • logos;
  • trademarks;
  • product descriptions;
  • designs;
  • software;
  • music; and
  • other protected materials.

23. SELLER CONTENT LICENCE

You retain ownership of your Seller Content.

However, by uploading or submitting Seller Content to Alkonect, you grant Alkonect a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, distribute, adapt, translate, publish, and use that content as reasonably necessary to:

  • operate the marketplace;
  • display Products;
  • process Orders;
  • provide marketplace services;
  • advertise Products;
  • promote Alkonect;
  • improve Platform services; and
  • provide customer support.

This licence continues for as long as reasonably necessary for the purposes for which the content was submitted, including maintaining historical transaction records.


24. REVIEWS AND RATINGS

You must not manipulate Buyer reviews or ratings.

You must not:

  • create fake reviews;
  • purchase reviews;
  • threaten Buyers over reviews;
  • submit reviews on behalf of Buyers;
  • artificially inflate ratings;
  • offer prohibited incentives for reviews; or
  • otherwise manipulate marketplace feedback.

Alkonect may remove reviews or take action against accounts involved in review manipulation.


25. ADVERTISING AND PROMOTIONS

You may participate in Alkonect advertising and promotional programmes subject to applicable terms.

All promotional claims must be truthful and supportable.

You must not use:

  • false discounts;
  • deceptive claims;
  • fake scarcity;
  • misleading comparisons;
  • unauthorised trademarks; or
  • unlawful advertising.

26. MARKETPLACE FEES

You agree to pay all applicable fees associated with your use of Alkonect.

Fees may include:

  • commissions;
  • transaction fees;
  • payment-processing fees;
  • listing fees;
  • subscription fees;
  • advertising fees;
  • logistics fees; and
  • other disclosed charges.

Applicable fees will be communicated through Alkonect's Seller systems, pricing information, Seller Agreement, or other official communications.


27. PAYOUTS

Seller proceeds will be calculated after applicable deductions.

Deductions may include:

  • marketplace commissions;
  • payment fees;
  • refunds;
  • chargebacks;
  • taxes or legally required deductions;
  • logistics charges;
  • advertising charges; and
  • other permitted amounts.

Payout timing may depend on transaction status, delivery, returns, disputes, payment processing, and risk controls.


28. PAYMENT HOLDS

Alkonect may temporarily delay or hold Seller funds where reasonably necessary to:

  • investigate suspected fraud;
  • process refunds;
  • manage chargebacks;
  • resolve disputes;
  • comply with legal requirements;
  • protect Buyers or Sellers; or
  • manage significant marketplace risks.

Such measures will be applied in accordance with applicable law and contractual obligations.


29. TAXES

You are responsible for determining and fulfilling your tax obligations.

These may include:

  • VAT;
  • sales taxes;
  • income taxes;
  • withholding taxes;
  • customs duties;
  • import taxes; and
  • other applicable taxes.

Alkonect may collect, report, deduct, or withhold amounts where required by law.


30. RECORD KEEPING

You should maintain accurate records relating to:

  • Products;
  • suppliers;
  • Orders;
  • invoices;
  • shipping;
  • returns;
  • refunds;
  • warranties;
  • customer complaints;
  • taxes; and
  • other legally required information.

Alkonect may request relevant documentation where reasonably necessary to investigate compliance, fraud, safety, authenticity, or disputes.


31. AUDITS AND INVESTIGATIONS

Alkonect may conduct reasonable reviews of Seller activities.

This may include reviewing:

  • Product listings;
  • transactions;
  • customer complaints;
  • Seller performance;
  • authenticity documentation;
  • fulfilment records;
  • communications;
  • returns;
  • refunds; and
  • other relevant information.

You agree to cooperate reasonably with legitimate investigations.


32. SELLER PERFORMANCE

Alkonect may assess Seller performance using factors including:

  • fulfilment rate;
  • cancellation rate;
  • delivery performance;
  • customer complaints;
  • response time;
  • return rate;
  • refund rate;
  • Product quality;
  • ratings;
  • counterfeit reports; and
  • policy compliance.

Alkonect may use these factors to determine marketplace visibility, Seller programme eligibility, or enforcement actions.


33. OFF-PLATFORM TRANSACTIONS

You must not intentionally use Alkonect to obtain Buyers and then move transactions outside the Platform to circumvent:

  • marketplace fees;
  • transaction controls;
  • Buyer protections;
  • payment systems; or
  • other Alkonect requirements.

Legitimate communication and lawful business activity unrelated to circumvention are not prohibited.


34. FRAUD AND ABUSE

You must not engage in fraudulent or abusive activity.

Prohibited conduct includes:

  • fake Orders;
  • false delivery confirmations;
  • false tracking;
  • payment manipulation;
  • refund fraud;
  • counterfeit activity;
  • fake reviews;
  • identity fraud;
  • false documentation;
  • account manipulation;
  • collusion; or
  • attempts to circumvent marketplace enforcement.

35. ACCOUNT SUSPENSION

Alkonect may suspend or restrict your Seller Account where reasonably necessary because of:

  • suspected fraud;
  • serious policy violations;
  • counterfeit Products;
  • prohibited Products;
  • security concerns;
  • regulatory requirements;
  • repeated fulfilment failures;
  • serious customer complaints; or
  • other significant risks.

Where appropriate, Alkonect may provide an opportunity to respond or correct the issue.


36. ACCOUNT TERMINATION

Alkonect may terminate your Seller Account in accordance with applicable law and these Terms.

Grounds may include:

  • serious or repeated violations;
  • fraud;
  • illegal activity;
  • counterfeit Products;
  • intellectual-property infringement;
  • misuse of Buyer information;
  • repeated Order failures;
  • payment abuse;
  • deceptive conduct; or
  • other material breaches.

You may also voluntarily terminate your Seller Account in accordance with the Alkonect Seller Right of Withdrawal Policy.


37. CONSEQUENCES OF TERMINATION

After termination:

  • active listings may be removed;
  • new Orders may be disabled;
  • marketplace access may be restricted;
  • outstanding financial obligations remain payable;
  • pending returns may continue;
  • warranty obligations may continue;
  • refunds may continue to be processed; and
  • applicable legal obligations remain in effect.

Termination does not automatically cancel obligations that arose before termination.


38. SELLER WITHDRAWAL

You may voluntarily withdraw from Alkonect in accordance with the Seller Right of Withdrawal Policy.

Withdrawal may require:

  • completion of pending Orders;
  • resolution of returns;
  • settlement of outstanding fees;
  • payment reconciliation; and
  • account verification.

Closing an account does not automatically eliminate existing obligations.


39. SELLER APPEALS

Where available, you may request review of certain enforcement decisions by contacting:

support@alkonect.com

Your appeal should include:

  • Seller information;
  • relevant Order or listing information;
  • explanation of the issue;
  • supporting evidence; and
  • requested resolution.

Alkonect may review the decision and determine whether it should be maintained, modified, or reversed.


40. CONFIDENTIALITY

You must protect confidential information obtained through Alkonect.

You must not disclose non-public information except:

  • with authorisation;
  • as required by law;
  • to authorised professional advisers; or
  • as otherwise permitted under these Terms.

41. ALKONECT PLATFORM RIGHTS

Alkonect may:

  • modify Platform features;
  • introduce new services;
  • remove features;
  • update marketplace requirements;
  • remove Products that violate policies;
  • change marketplace processes;
  • conduct security reviews; and
  • take reasonable measures to protect the Platform.

We do not guarantee that every marketplace feature will always be available.


42. PLATFORM AVAILABILITY

Alkonect will make reasonable efforts to maintain marketplace availability.

However, the Platform may occasionally be unavailable because of:

  • maintenance;
  • upgrades;
  • technical failures;
  • cybersecurity incidents;
  • third-party service failures;
  • telecommunications problems;
  • government actions;
  • force majeure events; or
  • other circumstances beyond our reasonable control.

43. NO GUARANTEE OF SALES

Alkonect does not guarantee that a Seller will:

  • receive Orders;
  • achieve a particular level of sales;
  • obtain a particular ranking;
  • receive a particular amount of revenue; or
  • remain eligible for any specific marketplace programme.

Marketplace visibility may change based on legitimate operational and performance factors.


44. SELLER REPRESENTATIONS

You represent and warrant that:

  1. You have authority to enter into these Terms.
  2. Information you provide is accurate.
  3. You have the right to sell your Products.
  4. Your Products comply with applicable laws.
  5. Your listings are not misleading.
  6. Your Products do not knowingly infringe third-party rights.
  7. You will fulfil accepted Orders.
  8. You will honour applicable returns and warranties.
  9. You will protect Buyer information.
  10. You will comply with Alkonect policies.

45. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Alkonect Ltd, its affiliates, officers, employees, agents, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

  • your Products;
  • your business activities;
  • your breach of these Terms;
  • your violation of applicable law;
  • intellectual-property infringement;
  • fraudulent or deceptive conduct;
  • misuse of Buyer information;
  • Product safety issues attributable to your Products; or
  • your failure to fulfil your obligations.

This provision does not apply to the extent that a claim results from Alkonect's own unlawful conduct or liability that cannot legally be excluded.


46. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Alkonect will not be responsible for losses arising solely from:

  • Seller business decisions;
  • lost profits;
  • loss of expected sales;
  • changes in marketplace visibility;
  • temporary Platform unavailability;
  • third-party services; or
  • circumstances beyond Alkonect's reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.


47. FORCE MAJEURE

Neither party will be responsible for delay or failure caused by circumstances beyond reasonable control, including:

  • natural disasters;
  • war;
  • civil unrest;
  • government action;
  • epidemics or pandemics;
  • telecommunications failures;
  • major cybersecurity incidents;
  • transportation disruption;
  • power failures;
  • labour disruption; or
  • other extraordinary events.

The affected party should take reasonable steps to minimise the impact.


48. COMPLIANCE WITH NIGERIAN LAW

Where Nigerian law applies, Sellers must comply with applicable Nigerian laws and regulations governing their business and Products.

This may include requirements relating to:

  • consumer protection;
  • taxation;
  • data protection;
  • product safety;
  • e-commerce;
  • advertising;
  • intellectual property;
  • customs; and
  • licensing.

49. COMPLIANCE WITH SOUTH KOREAN LAW

Where South Korean law applies, Sellers must comply with applicable Korean laws and regulations governing their business and Products.

This may include requirements relating to:

  • electronic commerce;
  • consumer protection;
  • product safety;
  • taxation;
  • personal information;
  • advertising;
  • intellectual property;
  • customs; and
  • licensing.

50. INTERNATIONAL COMPLIANCE

Sellers engaging in cross-border transactions are responsible for complying with laws applicable to their business, Products, and destination markets.

This includes applicable:

  • import and export requirements;
  • customs rules;
  • taxes;
  • Product restrictions;
  • sanctions;
  • consumer laws;
  • data-protection requirements; and
  • licensing requirements.

51. DISPUTE RESOLUTION

The parties should first attempt to resolve disputes through good-faith communication.

Where a dispute cannot be resolved informally, the applicable dispute-resolution provisions contained in the Seller Agreement or other applicable contractual terms will apply.

Mandatory legal rights and jurisdictional requirements remain unaffected.


52. GOVERNING LAW

These Terms shall be interpreted and applied subject to the applicable laws governing the relationship between Alkonect and the Seller.

Where a separate Seller Agreement specifies governing law or jurisdiction, that agreement may provide additional terms.

Nothing in these Terms prevents the application of mandatory laws or consumer protections that cannot legally be excluded.


53. CHANGES TO THESE TERMS

Alkonect may update these Terms from time to time.

Changes may be made to reflect:

  • legal or regulatory requirements;
  • marketplace developments;
  • new features;
  • changes to payment or logistics services;
  • security requirements; or
  • business and operational improvements.

Where required by applicable law, Alkonect will provide appropriate notice of material changes.

The updated Terms will be published on the Alkonect Platform.


54. NOTICES

Alkonect may provide notices through:

  • email;
  • Seller dashboard;
  • Platform notifications;
  • account messages;
  • website notices; or
  • other reasonable communication methods.

Sellers are responsible for maintaining a valid email address and regularly checking their Seller account.


55. ASSIGNMENT

A Seller may not transfer or assign its Seller Account or rights under these Terms to another person or entity without Alkonect's prior approval, except where otherwise permitted by applicable law.

Alkonect may assign or transfer its rights and obligations where reasonably necessary for corporate restructuring, business transfer, merger, acquisition, or operation of the marketplace, subject to applicable law.


56. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.

The remaining provisions will continue in effect.


57. NO WAIVER

Failure by Alkonect to enforce a provision of these Terms does not constitute a waiver of its right to enforce that provision later.


58. ENTIRE AGREEMENT

These Terms, together with the applicable:

  • Seller Policy;
  • Seller Legal Notice;
  • Seller Right of Withdrawal Policy;
  • Returns & Refund Policy;
  • Privacy Policy;
  • Support Policy;
  • Shipping Policy;
  • Seller Agreement;
  • fee schedule; and
  • other incorporated marketplace rules,

form the applicable contractual framework governing the Seller's use of Alkonect.

Where there is a conflict, mandatory applicable law will prevail.

Where multiple Alkonect contractual documents conflict, the document specifically governing the relevant subject matter will generally apply, subject to the terms of any signed Seller Agreement.


59. SELLER ACKNOWLEDGEMENT

By registering as a Seller or continuing to use Alkonect Seller services, you acknowledge that:

  • you have read these Terms;
  • you understand your responsibilities;
  • you agree to comply with Alkonect policies;
  • you will comply with applicable laws;
  • you are responsible for the Products you sell; and
  • you accept the contractual relationship established by these Terms.

61. FINAL AGREEMENT

By clicking "Register as Seller," "Agree," "Accept," "Create Seller Account," or an equivalent button, or by otherwise accessing or using Alkonect Seller services, you confirm that you have read, understood, and agreed to these Seller Terms and Conditions.

If you do not agree to these Terms, you must not use Alkonect Seller services.
