Welcome to Alkonect, a multivendor e-commerce marketplace operated by Alkonect Ltd, with operations and/or registration in Nigeria and South Korea.

These Terms and Conditions ("Terms", "Terms and Conditions" or "Agreement") govern your access to and use of the Alkonect website, mobile applications, marketplace, seller services, payment services, products, digital products, and related services (collectively, the "Platform").

By accessing, registering on, browsing, purchasing from, selling through, or otherwise using Alkonect, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.

If you do not agree with these Terms, you must not use the Platform.

1. ABOUT ALKONECT

Alkonect is a technology-enabled multivendor marketplace that connects buyers and independent sellers, businesses, manufacturers, service providers, and other merchants.

Alkonect may provide the technology, marketplace, payment facilitation, communication, order management, logistics coordination, advertising, and other services necessary to facilitate transactions between users and sellers.

Unless expressly stated otherwise, a seller is the party responsible for the sale, description, quality, legality, availability, fulfilment, warranty, and delivery of the products or services listed by that seller.

Alkonect may facilitate transactions but does not manufacture, own, or directly supply every product listed by third-party sellers.

2. DEFINITIONS

For purposes of these Terms:

"Alkonect", "we", "us", or "our" means Alkonect Ltd and its relevant affiliates, subsidiaries, representatives, or operating entities.

"Buyer", "Customer", "you", or "your" means any individual or organisation accessing or purchasing through the Platform.

"Seller", "Vendor", or "Merchant" means any individual, company, business, manufacturer, supplier, or other entity authorised to list and sell products or services through Alkonect.

"Platform" means the Alkonect website, mobile applications, marketplace, systems, services, and related digital infrastructure.

"Product" means any physical product, digital product, service, subscription, item, or other offering listed on the Platform.

"Order" means a request submitted by a Buyer to purchase one or more Products.

"Content" means text, images, photographs, videos, product descriptions, reviews, trademarks, logos, graphics, documents, software, and other materials displayed or submitted through the Platform.

"User Account" means an account created to access certain Alkonect features or services.

3. ELIGIBILITY

You must be legally capable of entering into a binding agreement under the laws applicable to you in order to use Alkonect.

If you are using Alkonect on behalf of a company, organisation, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Alkonect may restrict access to certain products, services, payment methods, or Platform features based on age, location, applicable law, seller requirements, or other legitimate considerations.

4. ACCOUNT REGISTRATION

Certain Platform features may require you to create an account.

When creating an account, you agree to:

• provide accurate and complete information;
• maintain the accuracy of your information;
• keep your login credentials confidential;
• use your account only for lawful purposes;
• notify Alkonect promptly if you believe your account has been compromised; and
• accept responsibility for activity conducted through your account, subject to applicable law.

You must not create an account using false information, another person's identity, or information that you are not authorised to use.

Alkonect reserves the right to suspend, restrict, or terminate accounts that contain false information or are used in violation of these Terms.

5. USE OF THE PLATFORM

You agree to use Alkonect only for lawful purposes.

You must not:

1. violate any applicable law or regulation;
2. use the Platform to commit fraud or facilitate illegal activity;
3. impersonate another person or organisation;
4. create fake accounts;
5. manipulate reviews, ratings, orders, prices, or marketplace rankings;
6. interfere with Platform security or operation;
7. introduce malware, viruses, malicious code, or harmful software;
8. attempt unauthorised access to another user's account;
9. scrape, copy, reproduce, or commercially exploit Platform content without permission;
10. use the Platform to distribute deceptive, fraudulent, defamatory, obscene, or unlawful material;
11. conduct transactions outside the Platform for the purpose of avoiding applicable Alkonect fees or controls;
12. use Alkonect to infringe intellectual-property rights; or
13. engage in conduct that may harm Alkonect, its users, sellers, partners, or reputation.

Alkonect may investigate suspected violations and take appropriate action, including removing content, cancelling transactions, suspending accounts, withholding funds where legally permitted, or terminating access.

6. MARKETPLACE AND THIRD-PARTY SELLERS

Alkonect operates as a marketplace that may enable independent sellers to offer Products to Buyers.

Each Seller is responsible for ensuring that its Products, listings, business practices, fulfilment, documentation, taxes, warranties, and representations comply with applicable law.

Product information displayed on Alkonect may be provided by individual Sellers.

While Alkonect may conduct verification, monitoring, moderation, or quality-control activities, Alkonect does not guarantee that every Seller or Product will always be accurate, available, lawful, safe, authentic, or suitable for a particular purpose.

Buyers should review the Product description, Seller information, price, delivery information, warranty information, return conditions, and other relevant details before placing an Order.

Where required by applicable law, Alkonect will provide or facilitate legally required consumer protections.

7. PRODUCT LISTINGS

Sellers are responsible for ensuring that their listings are accurate and not misleading.

Product listings should accurately state, where applicable:

• product name;
• description;
• specifications;
• condition;
• quantity;
• price;
• applicable taxes or charges;
• delivery information;
• warranty information;
• return conditions; and
• relevant restrictions or limitations.

Alkonect may remove, modify, restrict, or suspend listings that it reasonably believes violate these Terms, applicable law, marketplace policies, or consumer-protection requirements.

8. PRICES AND AVAILABILITY

Prices displayed on Alkonect are determined by the applicable Seller unless otherwise stated.

Prices may change at any time before an Order is accepted.

Alkonect and Sellers may correct pricing, description, availability, or technical errors.

If a material error affects an Order, Alkonect or the Seller may contact the Buyer and provide available options, including correction, cancellation, or refund where appropriate and permitted by law.

The total amount payable may include:

• Product price;
• applicable taxes;
• delivery or shipping fees;
• customs or import charges;
• payment-processing fees where applicable; and
• other charges disclosed before payment.

9. ORDERS

Placing an Order constitutes an offer to purchase the selected Product.

An Order is not necessarily accepted merely because it has been submitted.

An Order may be subject to Seller acceptance, payment verification, stock availability, fraud screening, delivery feasibility, and other applicable conditions.

Alkonect or the Seller may cancel an Order where:

• the Product is unavailable;
• payment cannot be verified;
• there is a pricing or listing error;
• fraud or suspicious activity is suspected;
• delivery is impossible or unlawful;
• the Seller cannot fulfil the Order;
• the transaction violates applicable law; or
• other legitimate circumstances require cancellation.

Where payment has already been made, applicable refunds will be processed in accordance with these Terms and applicable law.

10. PAYMENTS

Payments may be processed through third-party payment processors and financial institutions.

By submitting payment information, you confirm that you are authorised to use the selected payment method.

Alkonect does not ordinarily store complete payment-card information where payment processing is handled by an authorised third-party payment provider.

Payment providers may have their own terms and privacy policies.

Alkonect is not responsible for failures caused exclusively by a third-party payment provider, bank, card issuer, mobile-money provider, or other financial institution, except where liability cannot lawfully be excluded.

11. SELLER PAYMENTS AND PAYOUTS

Sellers may receive payment proceeds after applicable deductions, including:

• marketplace commissions;
• transaction fees;
• payment-processing charges;
• refunds;
• chargebacks;
• penalties or adjustments permitted under applicable Seller policies;
• taxes or legally required deductions; and
• other amounts agreed with the Seller.

Payout timing may vary based on Seller status, transaction type, payment method, delivery confirmation, return periods, fraud checks, and applicable law.

Alkonect may delay or suspend a payout where reasonably necessary to investigate fraud, disputes, chargebacks, regulatory requirements, or suspected violations.

12. DELIVERY AND SHIPPING

Delivery options, estimated delivery periods, shipping charges, and delivery locations may vary by Seller and Product.

Estimated delivery dates are estimates and are not guaranteed unless expressly stated otherwise.

Delays may occur because of:

• courier or logistics disruptions;
• customs procedures;
• weather;
• public emergencies;
• inaccurate delivery information;
• customs duties or import restrictions;
• government actions;
• international transportation delays; or
• circumstances outside reasonable control.

Buyers are responsible for providing accurate delivery information.

For international orders, the Buyer may be responsible for customs duties, import taxes, clearance charges, or other charges imposed by the destination country unless otherwise stated.

13. RETURNS, REFUNDS AND CANCELLATIONS

Return and refund rights may depend on the Product, Seller, transaction location, payment method, and applicable law.

Nothing in these Terms is intended to remove or restrict a mandatory consumer right provided by applicable law.

Buyers should review the applicable Product and Seller return policy before purchasing.

Where a return is approved, the Product may need to be:

• unused;
• undamaged;
• returned with original packaging;
• accompanied by relevant accessories or documentation; and
• returned within the applicable return period.

Certain Products may be excluded from return where permitted by law, including certain personalised, perishable, hygienic, digital, downloadable, opened, or otherwise non-returnable Products.

Where applicable law provides a mandatory cancellation, withdrawal, refund, or return right, that right will prevail over any conflicting marketplace policy.

For South Korean consumer transactions, statutory electronic-commerce consumer protections may apply, including cancellation/withdrawal rights and related obligations.

For Nigerian transactions, applicable consumer rights concerning returns, defective goods, misleading representations, and fair dealing will be respected.

14. REFUNDS

Approved refunds will generally be returned through the original payment method where reasonably possible.

Refund processing times may depend on the payment provider, financial institution, bank, card issuer, or other payment intermediary.

Alkonect is not responsible for delays caused solely by third-party financial institutions.

Where only part of an Order is cancelled or returned, the applicable refund may be limited to the affected Product, applicable shipping charges, taxes, or other amounts as required by law.

15. SELLER RESPONSIBILITIES

All Sellers agree that they will:

1. provide accurate Product information;
2. sell only lawful Products;
3. comply with applicable consumer-protection laws;
4. comply with applicable tax obligations;
5. fulfil accepted Orders promptly;
6. provide accurate shipping information;
7. honour applicable warranties and guarantees;
8. handle approved returns and refunds;
9. avoid misleading or deceptive representations;
10. respect intellectual-property rights;
11. maintain all licences, registrations, permits, and authorisations required for their business;
12. comply with applicable product-safety requirements;
13. maintain appropriate records of transactions; and
14. cooperate with Alkonect regarding disputes, complaints, investigations, and regulatory requests.

A Seller must not list counterfeit, stolen, prohibited, unsafe, illegal, or infringing Products.

16. PROHIBITED PRODUCTS

Alkonect may prohibit or restrict the sale of certain Products.

Prohibited or restricted Products may include, without limitation:

• illegal drugs;
• counterfeit goods;
• stolen goods;
• weapons or unlawful weapon-related products;
• explosives;
• fraudulent financial products;
• products that infringe intellectual-property rights;
• hazardous materials prohibited by applicable law;
• products prohibited by customs or import regulations;
• deceptive or fraudulent products;
• products subject to licensing requirements where the Seller lacks the required licence; and
• any other Product prohibited under applicable law or Alkonect marketplace policies.

Alkonect may remove prohibited listings and take action against Sellers responsible for them.

17. PRODUCT AUTHENTICITY AND QUALITY

Sellers are responsible for the authenticity, quality, legality, safety, and conformity of their Products.

A Seller must not knowingly sell counterfeit, materially misrepresented, defective, unsafe, or unlawfully sourced Products.

Where Alkonect receives credible reports concerning counterfeit, unsafe, fraudulent, or unlawful Products, Alkonect may investigate, remove the listing, suspend the Seller, notify relevant parties, or take other appropriate action.

18. REVIEWS AND RATINGS

Users may be permitted to submit reviews, ratings, photographs, comments, or other feedback.

Reviews must reflect genuine experiences.

Users must not:

• submit fake reviews;
• pay or incentivise others to submit deceptive reviews;
• submit reviews on behalf of another person;
• manipulate ratings;
• post defamatory or unlawful content;
• include personal information belonging to another person; or
• use reviews to promote unrelated businesses or services.

Alkonect may moderate, remove, or restrict reviews that violate these Terms or applicable law.

19. USER CONTENT

Where you submit Content to Alkonect, you retain ownership of your Content, subject to the licence granted below.

You grant Alkonect a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, distribute, adapt, and otherwise process your Content as reasonably necessary to operate, promote, improve, and provide the Platform and its services.

You represent that:

• you own or have permission to use the Content;
• the Content does not infringe third-party rights;
• the Content is not unlawful or misleading; and
• your submission of the Content does not violate another agreement.

Alkonect may remove Content that violates these Terms or applicable law.

20. INTELLECTUAL PROPERTY

All Alkonect trademarks, logos, designs, software, website layouts, graphics, text, features, databases, and other Platform materials owned or licensed by Alkonect are protected by applicable intellectual-property laws.

Except as expressly permitted by Alkonect, you may not:

• copy;
• reproduce;
• modify;
• distribute;
• publish;
• sell;
• license;
• reverse engineer;
• create derivative works from; or
• commercially exploit

Alkonect intellectual property.

Seller trademarks, product photographs, descriptions, and other Seller-owned materials remain the property of their respective owners.

21. THIRD-PARTY SERVICES

The Platform may integrate or link to third-party services, including payment providers, logistics providers, identity-verification providers, analytics services, cloud providers, advertising platforms, and communication services.

Third-party services may have separate terms and privacy policies.

Alkonect is not responsible for third-party services except to the extent required by applicable law.

22. PRIVACY AND PERSONAL INFORMATION

Alkonect may collect and process personal information necessary to operate the Platform, process Orders, provide customer support, facilitate payments and delivery, prevent fraud, communicate with users, and comply with legal obligations.

Personal information will be handled in accordance with Alkonect's Privacy Policy and applicable data-protection laws.

Alkonect may operate across Nigeria, South Korea, and other jurisdictions, meaning personal information may be processed or transferred internationally where legally permitted and appropriate safeguards are in place.

Applicable Nigerian and South Korean data-protection requirements may apply depending on the user, transaction, processing activity, and applicable jurisdiction. South Korea's Personal Information Protection Act regulates the collection, use, provision, and protection of personal information.

By using Alkonect, you acknowledge that you should review the Alkonect Privacy Policy for detailed information about how personal information is processed.

23. FRAUD PREVENTION

Alkonect may use automated and manual systems to detect suspicious transactions, fraudulent activity, account abuse, payment fraud, counterfeit Products, and other prohibited conduct.

Alkonect may:

• verify identity;
• request additional information;
• delay transactions;
• restrict accounts;
• cancel Orders;
• suspend Seller payouts;
• restrict payment methods; or
• report suspected unlawful conduct to appropriate authorities.

Such measures may be taken where reasonably necessary to protect users, Sellers, Alkonect, payment providers, or the integrity of the Platform.

24. DISPUTES BETWEEN BUYERS AND SELLERS

Alkonect may provide dispute-resolution tools to assist Buyers and Sellers.

Users agree to cooperate reasonably with dispute investigations and provide relevant information where requested.

Alkonect may review transaction records, communications, Product information, delivery evidence, payment information, and other relevant evidence.

Any decision made by Alkonect in relation to marketplace administration does not prevent a user from exercising rights available under applicable law.

Where applicable law provides mandatory consumer dispute-resolution rights, those rights remain unaffected.

25. ALKONECT'S ROLE AND LIABILITY

Alkonect operates a marketplace and technology platform.

Except where expressly stated or required by applicable law, Alkonect does not guarantee:

• that every Product will meet every Buyer's expectations;
• uninterrupted Platform availability;
• that every Seller will fulfil every Order;
• that all Product information provided by Sellers will always be error-free;
• that Products will always be available;
• that delivery estimates will always be met; or
• that the Platform will be completely free of technical errors.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

Nothing in these Terms is intended to deprive consumers of mandatory rights granted by applicable consumer-protection legislation.

26. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Alkonect will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses arising from use of the Platform.

Where legally permitted, Alkonect's aggregate liability relating to a particular transaction will not exceed the amount actually paid through Alkonect for the transaction giving rise to the claim.

This limitation does not apply to liability that cannot lawfully be limited or excluded.

27. INDEMNIFICATION

To the extent permitted by applicable law, Sellers and other users agree to indemnify and hold Alkonect and its affiliates, officers, employees, representatives, and service providers harmless from claims, losses, liabilities, costs, and expenses arising from:

• violation of these Terms;
• unlawful conduct;
• infringement of third-party rights;
• fraudulent activity;
• Product-related claims caused by the Seller;
• inaccurate Product information;
• breach of applicable law; or
• misuse of the Platform.

Nothing in this section requires a consumer to indemnify Alkonect for matters where such an obligation would be prohibited by applicable law.

28. SUSPENSION AND TERMINATION

Alkonect may suspend or terminate access to the Platform where reasonably necessary because of:

• violation of these Terms;
• fraud or suspected fraud;
• unlawful activity;
• repeated consumer complaints;
• prohibited Products;
• payment abuse;
• intellectual-property infringement;
• security threats;
• regulatory requirements; or
• other conduct that may materially harm Alkonect, users, Sellers, or the Platform.

Users may stop using the Platform at any time.

Termination does not automatically eliminate obligations or liabilities that arose before termination.

29. CHANGES TO THE PLATFORM

Alkonect may modify, suspend, discontinue, or replace Platform features from time to time.

We may also update these Terms where necessary because of:

• changes to our services;
• changes in applicable law;
• security requirements;
• operational changes;
• marketplace developments; or
• improvements to the Platform.

Where required by law, material changes will be communicated through appropriate means.

Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.

30. FORCE MAJEURE

Alkonect will not be responsible for delays or failures caused by circumstances beyond reasonable control, including:

• natural disasters;
• war;
• terrorism;
• civil unrest;
• epidemics or pandemics;
• government actions;
• strikes;
• transportation disruptions;
• telecommunications failures;
• internet outages;
• power failures;
• cyber incidents beyond reasonable control; or
• other extraordinary events.

This provision does not limit mandatory consumer rights.

31. TAXES AND CUSTOMS

Users and Sellers are responsible for complying with applicable tax laws.

Depending on the transaction, Products, Seller location, Buyer location, and applicable law, taxes such as VAT, sales tax, import duties, customs charges, withholding taxes, or other government charges may apply.

For international transactions, the Buyer may be responsible for import duties, customs charges, and destination-country taxes unless otherwise stated.

32. INTERNATIONAL TRANSACTIONS

Alkonect may facilitate transactions between Buyers and Sellers located in different countries.

International transactions may be subject to:

• export regulations;
• import regulations;
• customs requirements;
• foreign-exchange regulations;
• taxes and duties;
• sanctions;
• product restrictions;
• consumer-protection laws; and
• other laws applicable to the transaction.

Buyers and Sellers are responsible for complying with applicable laws governing their transactions.

33. GOVERNING LAW AND JURISDICTION

Alkonect operates across multiple jurisdictions, including Nigeria and South Korea.

The applicable governing law and dispute-resolution forum may depend on:

• the Alkonect entity contracting with you;
• your location;
• the Seller's location;
• the nature of the transaction;
• mandatory consumer-protection legislation; and
• applicable law.

Nothing in these Terms prevents a consumer from exercising mandatory rights or bringing a claim in a forum where applicable law permits the consumer to do so.

For commercial disputes involving Sellers, Alkonect may designate the applicable governing law and dispute-resolution mechanism in the relevant Seller Agreement or Seller Terms.

Where no separate agreement applies, disputes shall be handled in accordance with applicable law and the jurisdiction legally competent to determine the dispute.

34. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be modified or removed only to the extent necessary, while the remaining provisions will continue in effect.

35. NO WAIVER

Failure by Alkonect to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

36. ENTIRE AGREEMENT

These Terms, together with applicable policies referenced herein, including the Privacy Policy, Seller Terms, Return and Refund Policy, Shipping Policy, and other applicable marketplace policies, constitute the agreement governing your use of Alkonect.

If there is a conflict between these Terms and a mandatory legal requirement, the mandatory legal requirement will prevail.

38. ACCEPTANCE

By creating an account, placing an Order, listing Products, purchasing Products, or otherwise using Alkonect, you acknowledge that you have read and agree to these Terms and Conditions.
